Bug Interactive's terms and conditions of business.
Payment terms
A project fee may be divided into payments in accordance with a schedule agreed by both Bug Interactive and the client.
Please note that failure to make the required payments in a timely fashion can hold up the progress of your project and render any deadline / launch dates as subject to change. All invoices issued by Bug Interactive clearly state the terms of payment required for your project to progress.
The initial payment (deposit) must be received by Bug Interactive in order for any work to commence.
Payment upon completion assumes that Bug Interactive has fulfilled all elements of the project as outlined above to the best of its ability. It does not assume completion of all requirements by third parties beyond the realistic control of Bug Interactive. This includes responsibilities of the client required to complete the project, the supply of any assets critical to the launch of the project, or the provision of services from a third party not directly associated with Bug Interactive.
The completion payment should not be received any later than 30days from the completion / launch of the project. Failure to receive payment will result in further measures being taken to recover any money owed.
Project quotations / fees
Project quotations / fees are valid for 90 days from the date of this agreement. A project may be re-evaluated if upon receipt of all elements, Bug Interactive determines the scope of the project has been altered dramatically from that originally agreed. Bug Interactive will be compensated for time worked beyond the scope of this project within reason and will notify the client of this beforehand.
The client understands that if any changes are made to the scope of the project during its execution then Bug Interactive reserves the right to alter the project fee accordingly. Bug Interactive will notify the client of this eventuality prior to carrying out such work. Such fee changes will be applied at the prevailing hourly or daily rate.
Reproduction of work
Bug Interactive retains the right to use representations of the completed project for marketing purposes.
Client co-operation
Bug Interactive and the client shall each appoint a project manager who is conversant with all aspects of the project and reasonably able to deal with all matters of a technical nature, arranging and conducting progress meetings.
Rejection / cancellation of work
The client shall not unreasonably withhold acceptance of, or payment for, the project. If, prior to completion of the project, the client observes any non-conformance with the project plan, Bug Interactive must be promptly notified, allowing for necessary corrections.
Rejection of the completed project or cancellation during its execution will result in forfeiture of deposit and the possible billing for all additional labour or expenses incurred. All elements of the project must then be returned to Bug Interactive. Any usage by the client of those project elements will result in appropriate legal action. The client shall bear all costs, expenses, and reasonable legal fees in any action brought to recover payment under this contract.
Agreement of terms
The above terms must be formerly agreed by both parties in the form of a signed agreement for a project to commence.
